Terms

Cole8 PRIMER provides a free service to help you share your public profile or promote your business. Your use of products, software, services and web sites provided to you by Cole8 is subject to the terms of a legal agreement between you and Cole8. This document explains how the agreement is made up and sets out some of the terms of that agreement. They include:

Age Restriction

Children under age 13 are not allowed to own an account on the Cole8 PRIMER service. If we have inadvertently collected personal information from anyone under the age of 13, we will delete that information as soon as it is detected.

Limits on Accounts

Cole8 continually strives to bring you better quality in terms of products and services. As far as Cole8 tries to achieve this, it however places limits on (but not limited to) data volumes, storage space, validity days of uploaded data or other criteria. This is done within reasonable bounds, and Cole8 acts in good faith to ensure reliability of its services. You agree that Cole8 retains the rights to place limits of any kind at any time including but not limited to total restriction or complete termination of your account as may be deemed fit by Cole8.

Cole8 reserves proprietary rights to its ranking algorithm and acts in good faith being fair and unbiased. You agree not to use any Cole8 service particularly Cole8 Search and PRIMER to manipulate rankings of your pages outside the stipulated scope provided by Cole8.

You agree that Cole8 assumes no liability or responsibility for any damage or loss arising from the use by you and/or administration by Cole8 of any of Cole8's services.

You agree that Cole8 reserves the right to modify or change its limits on your account from time to time without any prior notification given to you. You agree not to reproduce, sell, exchange, transfer or exploit for commercial or any other purposes, any portion of, or access to your Cole8 PRIMER account (including profile, ads, and your login credentials).

Modifications and Discontinuance of Service

Cole8 reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, any of its services without prior notice to you. This applies to Cole8 PRIMER and every other service provided by Cole8. While Cole8 acts in your best interests and may make a best effort at promptly communicating its critical decisions to you, You agree that Cole8 shall not be held responsible to you or to any third party for any modification or discontinuance of its services, with or without notice.

Rights of content Usage

You agree to grant Cole8 the right to modify, reproduce, redistribute, adapt, and/or display your Content in whole or in part and to incorporate such Content into other works (including commercial works) in any format or medium now known or later developed. This holds true for as long as you continue to maintain an account with Cole8. At termination of your account, all such Content may be removed from the Cole8 PRIMER database and from future releases of products or services in which such Content is incorporated. Cole8 is not obliged to share with you revenues or profits earned from such works. Neither is Cole8 liable for any loss arising from such use.

Termination

You agree that Cole8 may, without prior notice, immediately terminate, limit your access to or suspend your Cole8 account, and/or access to other Cole8 services. Cause for such termination, limitation of access or suspension shall include, but not be limited to
  1. breaches or violations of this or Term of Service,
  2. compliance to applicable law or other legal stipulations,
  3. suspected interference with Cole8's servers or network resources,
  4. technical or security issues or problems,
  5. extended periods of inactivity,
  6. your involvement in fraudulent or illegal activities, and/or
  7. nonpayment (if any) of fees owed by you in connection with the Cole8 services.

Termination of your Cole8 account may include any or all of the following:

Ranking

Cole8 ranks four entities in a typical search cycle:
  1. Web pages
  2. Profiles
  3. Ads
  4. Other media

To achieve this, Cole8 makes exclusive use of algorithms. There is no manual adjustments or manipulation involved in ranking any of these entities. Every web page, profile and ad has a fair chance of gaining prominence in search results as long as it provides relevant Content. Hence, Cole8 does not welcome any offers to manipulate search results.

To provide improved quality of service, Cole8 search results for any given search term may (and indeed will) change from time to time. This does not in any way affect the integrity of Cole8 search. Such changes may arise due to:

You agree to accept in good faith, the efforts of Cole8 at giving a fair experience through its ranking system. You thus agree not to make any attempts whatsoever, at manipulating Cole8 search results.

Dealings with Third Party

Your correspondence, transactions or business dealings with, or participation in promotions of, advertisers found on or through the Cole8 Search or Cole8 PRIMER, including payment and delivery of related goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such advertiser. You agree that Cole8 shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings or as the result of the presence of such advertisers on the Cole8 PRIMER platform.

You acknowledge that Cole8 is not responsible for the availability or reliability of resources linked to, from Cole8 on external web sites, does not endorse and is not liable for any such Content, advertising, products or other materials on or available from such sites or resources. You further acknowledge and agree that Cole8 shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such Content, goods or services available on or through any such web site.

Contributions

Regarding ideas, suggestions, complaints, reports, and/or proposals ("Contributions") to Cole8 PRIMER and/or other Cole8 services through any means, except expressly acknowledged by Cole8 to the contrary, you agree that:
  1. your Contributions do not contain confidential or proprietary information;
  2. Cole8 is not under any obligation of confidentiality, express or implied, with respect to any such Contributions;
  3. Cole8 reserves all the rights to use or disclose or modify (or choose not to use or disclose or modify) such Contributions for any purpose, in any way, through any medium without any restrictions;
  4. All contributions thus made automatically become proprietary to Cole8 and may be used for development of new products or enhancement of existing products. Cole8 holds no obligation to you in that regard;
  5. You are not entitled to any compensation or reimbursement of any kind from Cole8.

Claims of Copyright or Intellectual Property Infringement

Cole8 as an information-oriented company, respects the intellectual property of others, and we urge our clients to do the same. Cole8 may also, in appropriate circumstances and at its discretion, disable and/or terminate the accounts of users who infringe on intellectual property.

If you nonetheless, believe that your work has been copied in a way that constitutes copyright infringement, or your intellectual property rights have been violated in some way, please provide Cole8 with the following information:

  1. an electronic or physical signature of the person authorised to act on behalf of the owner of the copyright or other intellectual property interest;
  2. a description of the copyrighted work or other intellectual property that you claim has been infringed;
  3. a description of where the material that you claim is infringing is located on the Cole8 web site;
  4. your contact address, telephone number, and email address;
  5. a statement by you that you have a good faith belief that the disputed use is not authorised by the copyright owner, its agent, or the law.

Indemnity

  1. You agree to indemnify and hold Cole8 and its subsidiaries, affiliates, officers, agents, employees, partners and licensees harmless from any claim or demand, including legal fees, made by any third party due to or arising from the Content you submit, post, transmit, modify or otherwise make available through Cole8, or your use of Cole8's Services, your connection to Cole8, your violation of this or other Terms of Service, or your violation of any rights of a third party or State.
  2. You understand and agree that you are fully responsible for all your actions as regards the use of Cole8 services including but not limited to Cole8 PRIMER.
  3. You agree that though Cole8 maintains the right, without your prior consent to redistribute Content you make available using Cole8 services and to incorporate it into any of its works - either commercial or non commercial works, You shall be solely responsible for any loss, damage or violations connected to the use of any Content made available by you on or through the use of Cole8 services including but not limited to Cole8 PRIMER.

Cole8 Trademarks

You agree that all trademarks, trade names, service marks and other Cole8 logos as well as brand features, product and service names are trademarks and the property of Cole8. You agree not to display or use in any manner all such marks, without permission from Cole8. Grant of licence to use the Cole8 PRIMER service is not a permission for the use of trademarks, brand names or logos of Cole8.

Privacy

Cole8 acts in the best interest of users of its services by protecting their privacies by not sharing with a third party any information that it collects from them. Rest assured, Cole8 will not share your personal information without your permission. For details, you can read the Cole8 PRIMER Privacy Policy.

Enforcement

The failure of Cole8 to exercise or enforce any right or provision of this Terms of Service shall not constitute a waiver of such right or provision. It remains at the discretion of Cole8 to act in its best interest, under certain circumstances, which, may warrant a decision not to enforce this Terms of Service.

Grants of Licence

In order to use Cole8 PRIMER, you must first agree to the terms contained in this document. You may not use these service if you do not accept the terms. You can accept the Terms in the following ways:

Sequel to your acceptance of these Terms of Service, Cole8 grants you a personal, non-transferable and non-exclusive, worldwide right and licence to use the Cole8 PRIMER service, provided that

  1. You do not (and do not allow any third party to) modify, create a derivative work from, reverse engineer, or otherwise attempt to discover any source code, sell, assign, sublicense, grant a security interest in or otherwise transfer any right in the Service.
  2. You agree not to use the Service in any manner or form, that may cause an interruption in service for other users or cause damage to any infrastructure belonging to Cole8.
  3. You agree not to access the Cole8 PRIMER service and other services or products made available to you by any means other than through the interface that is explicitly provided by Cole8 for use in accessing the product or service.
